ARTICLE IX GENERAL PROVISIONS
Section 9.9 Specific Performance.(a) The parties hereto agree that irreparable damage for which monetary damages, even if available, would not be an adequate remedy, would occur in the event that the parties hereto do not perform the provisions of this Agreement (including failing to take such actions as are required of it hereunder to consummate this Agreement) in accordance with its specified terms or otherwise breach such provisions. Accordingly, the parties hereto acknowledge and agree that the parties hereto shall be entitled to an injunction, specific performance and other equitable relief to prevent breaches of this Agreement and to enforce specifically the terms and provisions hereof, in addition to any other remedy to which they are entitled at law or in equity. Each of the parties hereto agrees that it will not oppose the granting of an injunction, specific performance and other equitable relief on the basis that any other party has an adequate remedy at law or that any award of specific performance is not an appropriate remedy for any reason at law or in equity. Any party seeking an injunction or injunctions or any other equitable relief to prevent breaches of this Agreement and to enforce specifically the terms and provisions of this Agreement shall not be required to show proof of actual damages or provide any bond or other security in connection with any such order or injunction.

(a) 当事者は、この契約の条項（本契約の成立に必要な措置を含む）を指定された条件に従って履行せず、またはその他の条項に違反する場合、金銭的な損害が不可欠な救済措置であっても十分な救済とはならない、不可逆的な損害が発生する可能性があることを認識し合意します。したがって、当事者は、法的または衡平法上の他の救済手段に加えて、本契約の違反を防止し、本契約の条項を明示的に履行するための差止命令、具体的履行、およびその他の衡平的救済を要求する権利があることを認識し合意します。各当事者は、他の当事者に対する差止命令、具体的履行、およびその他の衡平的救済の付与に対して、他の当事者が法的に十分な救済手段を有しているか、または具体的履行の判決が法的または衡平法上の理由で適切な救済でないという理由に基づいて反対しないことに同意します。本契約の違反を防止し、本契約の条項を明示的に履行するために差止命令または他の衡平的救済を求める当事者は、実際の損害の証明をする必要はなく、そのような命令または差止命令に関連して保証金やその他の担保を提供する必要はありません。
