MISCELLANEOUS
In the event that any one or more provisions of this Agreement shall for any reason be held invalid, illegal or unenforceable in any respect, by any court of competent jurisdiction, such invalidity, illegality or unenforceability shall not affect any other provisions of this Agreement and the Parties shall use their reasonable efforts to substitute a valid, legal and enforceable provision which, insofar as practical, implements the purposes and intents of this Agreement.
【参考訳】本契約の1つまたは複数の条項が、何らかの理由により、管轄権を有する裁判所により、いかなる点においても無効、違法、または執行不能と判断された場合であっても、かかる無効、違法、または執行不能は、本契約のその他の条項に影響を及ぼさず、両当事者は、現実的な限りにおいて、本契約の目的および意図を実施する、有効、合法、かつ執行可能な条項に置き換えるために合理的な努力を払うものとする。
