CONVERSION OF SHARES
Closing of Transfer Books. From and after the Effective Time, there shall be no transfers on the stock transfer books of Regal Bancorp of the Regal Bancorp Common Stock that was outstanding immediately prior to the Effective Time. If, after the Effective Time, Certificates representing such shares are presented for transfer to the Exchange Agent, they shall be exchanged for the Merger Consideration and canceled as provided in this Section 3.3.
【参考訳】振替帳簿の閉鎖。発効時以降、発効時直前に発行されていた Regal Bancorp 普通株式の Regal Bancorp の株式振替帳簿上 の譲渡はできないものとする。発効時以降、かかる株式を表章する証書が交換代理人に譲渡のために提示された場合、かかる証 券は合併対価と交換され、本第 3.3 項の規定に従って消却されるものとする。
