CLOSING CONDITIONS
Agreements and Covenants. SR Bancorp and Somerset Bank shall have performed in all material respects all obligations and complied in all material respects with all agreements or covenants to be performed or complied with by each of them at or prior to the Effective Time, and Regal Bancorp shall have received a certificate signed on behalf of Somerset Bank, without personal liability, by the Chief Executive Officer and Chief Financial Officer of Somerset Bank to such effect dated as of the Closing Date.
