CLOSING CONDITIONS
Accountants’ Letter. SR Bancorp shall have received a “comfort” letter from the independent certified public accountants for Regal Bancorp, dated (i) the effective date of the Conversion Registration Statement and (ii) the Closing Date, with respect to certain financial information regarding Regal Bancorp, each in form and substance which is customary in transactions of the nature contemplated by this Agreement.
