REPRESENTATIONS AND WARRANTIES OF REGAL BANCORP AND REGALBANK
The authorized capital stock of Regal Bancorp consists of (i) five million (5,000,000) shares of common stock, no par value per share (“Regal Bancorp Common Stock”) and (ii) one million (1,000,000) shares of preferred stock, no par value (“Regal Bancorp Preferred Stock”). As of the date hereof, there are (i) 3,023,369 shares of Regal Bancorp Common Stock issued and outstanding, (ii) no shares of Regal Bancorp Preferred Stock issued and outstanding, (iii) no shares of Regal Bancorp Common Stock reserved for issuance under the Regal Bancorp Stock Benefit Plan, and (iv) no other shares of capital stock or other voting securities of Regal Bancorp are issued, reserved for issuance or outstanding. All of the issued and outstanding shares of Regal Bancorp Common Stock have been duly authorized and validly issued, and are fully paid and nonassessable and free of preemptive rights. There are no shares of Regal Bancorp Common Stock held by Regal Bancorp as treasury stock.
