REPRESENTATIONS AND WARRANTIES OF REGAL BANCORP AND REGALBANK
The authorized capital stock of Regal Bank consists of five million (5,000,000) shares of common stock, par value $5.00 per share (“Regal Bank Common Stock”) and one million (1,000,000) shares of preferred stock, $2.00 par value per share (“Regal Bank Preferred Stock”). All the issued and outstanding shares of Regal Bank Common Stock are (i) validly issued, fully paid and nonassessable and free of preemptive rights, and (ii) owned by Regal Bancorp free and clear of any Liens. There are no shares of Regal Bank Preferred Stock issued and outstanding.
