CLOSING CONDITIONS
Tax Opinion. On the basis of facts, representations and assumptions, which shall be consistent with the state of facts existing at the Closing Date, Somerset Bank, SR Bancorp and Regal Bancorp shall have received an opinion of Luse Gorman, PC reasonably acceptable in form and substance to Somerset Bank, SR Bancorp and Regal Bancorp dated as of the Closing Date, substantially to the effect that, for Federal income tax purposes, the Merger will be a reorganization within the meaning of Section 368(a)(1)(A) of the Code. Each of Somerset Bank, SR Bancorp, Regal Bank and Regal Bancorp shall provide a letter setting forth the facts, assumptions and representations on which such counsel may rely in rendering its opinion, provided such facts, assumptions and representations are consistent with the facts existing at the Effective Time.
