REPRESENTATIONS AND WARRANTIES OF REGAL BANCORP AND REGALBANK
All material contributions required to be made under the terms of any Regal Bancorp Compensation and Benefit Plan or ERISA Affiliate Plan to which Regal Bancorp or any Regal Bancorp Subsidiary is a party or a sponsor have been timely made, and all anticipated contributions and funding obligations are accrued on Regal Bancorp’s consolidated financial statements to the extent required by GAAP. Regal Bancorp and its Subsidiaries have expensed and accrued as a liability the present value of future benefits under each applicable Regal Bancorp Compensation and Benefit Plan for financial reporting purposes to the extent required by GAAP.
