CONVERSION OF SHARES
All shares of Regal Bancorp Common Stock held in the treasury of Regal Bancorp and each share of Regal Bancorp Common Stock owned by SR Bancorp, Somerset Bank, any Somerset Bank Subsidiary or Regal Bancorp Subsidiary immediately prior to the Effective Time (other than shares held in a fiduciary capacity or in connection with debts previously contracted) shall, at the Effective Time, cease to exist, and the Certificates for such shares shall be canceled as promptly as practicable thereafter, and no payment or distribution shall be made in consideration therefor.
