CLOSING CONDITIONS
Effectiveness of the Merger and the Conversion Registration Statements. The Merger Registration Statement and the Conversion Registration Statement shall have become effective under the Securities Act and no stop order suspending the effectiveness of the Merger Registration Statement shall have been issued, and no proceedings for that purpose shall have been initiated or threatened by the SEC and, if the offer and sale of SR Bancorp Common Stock in the Merger is subject to the Blue Sky laws of any state, it shall not be subject to a stop order of any state securities commissioner.
