REGULATORY AND OTHER MATTERS
Each Party hereto shall promptly notify the other Party if at any time it becomes aware that the Proxy Statement-Prospectus or the Merger Registration Statement contains any untrue statement of a material fact or omits to state a material fact required to be stated therein or necessary to make the statements contained therein, in light of the circumstances under which they were made, not misleading. In such event, the Parties shall cooperate in the preparation of a supplement or amendment to such Proxy Statement-Prospectus that corrects such misstatement or omission, and SR Bancorp shall file an amended Merger Registration Statement with the SEC, and Regal Bancorp shall mail an amended Proxy Statement-Prospectus to Regal Bancorp’s stockholders.
【参考訳】各当事者は、委任状説明書-目論見書または合併登録届出書に重要な事実の虚偽の記載があること、またはそこに記載が義務付けられている重要な事実の記載が省略されていること、またはそこに記載されている記述が作成された状況に照らして誤解を招かないようにするために必要な重要な事実の記載が省略されていることに気付いた場合、速やかに他方の当事者に通知するものとします。そのような場合、両当事者はかかる虚偽の記載または省略を修正する委任状説明書-目論見書の補足または修正書の作成に協力するものとし、SR Bancorp は SEC に修正合併登録届出書を提出し、Regal Bancorp は修正委任状説明書-目論見書を Regal Bancorp の株主に郵送するものとする。
