MISCELLANEOUS
Wherever there is any conflict between any provision of this Agreement and any Governmental Requirement or judicial precedent, the latter shall prevail, but in such event the provisions of this Agreement thus affected shall be curtailed and limited only to the extent necessary to bring it within the requirement of the law. In the event that any part, section, paragraph or clause of this Agreement shall be held by a court of proper jurisdiction to be invalid or unenforceable, the entire Agreement shall not fail on account thereof, but the balance of the Agreement shall continue in full force and effect unless such construction would clearly be contrary to the intention of the parties or would result in unconscionable injustice.
【参考訳】本契約の条項と政府の要件または判例との間に矛盾がある場合は、後者が優先するものとしますが、そのような場合、影響を受ける本契約の条項は、法律の要件内に収めるために必要な範囲でのみ縮小および制限されるものとします。本契約のいずれかの部分、セクション、段落、または条項が、適切な管轄権を有する裁判所により無効または執行不能と判断された場合でも、本契約全体がそれを理由に無効となることはなく、本契約の残りの部分は、そのような解釈が明らかに当事者の意図に反するか、または不当な不公平をもたらさない限り、完全な効力を継続するものとします。
