COVENANTS OF VITRO AND VAC
From the date of this Agreement through the Closing Date, Vitro will grant Fitore and its authorized representatives reasonable access during normal business hours to its and the Subsidiaries’ books and records, premises, products, employees and customers and other parties with whom it has contractual relations during reasonable business hours for purposes of enabling Fitore to fully investigate the business of Vitro and the Subsidiaries. Vitro will also deliver copies of the statements of operations and financial condition for the period subsequent to the latest financial statements to Fitore within a reasonable time of such statements becoming available.
【参考訳】帳簿および記録、敷地などへのアクセス。本契約の日付からクロージング日まで、Fitore が Vitro および子会社の事業を完全に調査できるようにする目的で、Fitore およびその権限を有する代理人に対し、通常の営業時間中に、Fitore および子会社の帳簿および記録、敷地、製品、従業員、顧客、その他契約関係にある関係者への合理的なアクセスを許可するものとします。また、Vitro は、最新の財務諸表が入手可能になった後、合理的な時間内に、それ以降の期間の業務および財務状況の報告書の写しを Fitore に交付するものとします。
