REPRESENTATIONS AND WARRANTIES OF FITORE AND FITORE SHAREHOLDERS.
In connection with the investigations performed by and audit to be undertaken by Fitore, Fitore furnished certain financial information and data including, without limitation, tax and accounting records, financial records, statements, worksheets and other information requested by Vitro and its auditors necessary to undertake and complete the audited financial examinations. Fitore represents and warrants that any and all such information furnished in connection with the conduct of such investigations and audits shall be true, accurate and complete in all material respects and shall not contain any material misstatements nor any material omissions of fact or information respecting the financial condition or results of operation of the business for the respective periods covered by the audits.
