REPRESENTATIONS AND WARRANTIES OF VITRO AND VAC
The representations and warranties contained in this Agreement shall be true on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of the Closing Date. Such representations and warranties shall survive the Closing Date and shall remain operative in full force and effect for a period of eighteen months from the date of Closing regardless of any investigation at any time made by or on behalf of Fitore and shall not be deemed merged in any document or instruction so executed and/or delivered by Vitro.
【参考訳】本契約に含まれる表明および保証は、クロージング日時点においても、クロージング日時点において表明および保証が行われたのと同等の効力をもって真実であるものとする。かかる表明および保証は、Fitore による、または Fitore のために行われるいかなる時点の調査にかかわらず、クロージング日から 18 カ月間、クロージング日まで存続し、完全な効力を有し続けるものとし、Vitro によって締結および／または交付されたいかなる文書または指示に統合されたものとみなされないものとします。
