THE MERGER
The Merger shall become effective immediately upon the filing of the Statement of Merger and Articles of Merger with the Secretaries of State of the States of Colorado and Florida in accordance with the CBCA and FBCA. The date and time of the completion of such filings is herein sometimes referred to as the “Effective Time”.
