ADDITIONAL AGREEMENTS
The parties shall deliver or cause to be delivered such documents or certificates as may be necessary, in the reasonable opinion of counsel for either of the parties, to effectuate the transactions provided for in this Agreement. If at any time the parties or any of their respective successors or assigns shall determine that any further conveyance, assignment or other document or any further action is necessary desirable to further effectuate the transactions set forth herein or contemplated hereby, the parties and their officers, directors and agents shall execute and deliver, or cause to be executed and delivered, all such documents as may be reasonably required to effectuate such transactions.
【参考訳】両当事者は、本契約に規定される取引を有効にするために、両当事者のいずれかの弁護士の合理的な意見において必要とされる文書または証明書を交付し、または交付させるものとする。本契約に規定された、または本契約で企図された取引をさらに効果的に行うために、当事者またはその各承継人もしくは譲受人がいつでも、さらなる譲渡、割り当て、その他の文書、またはさらなる措置が必要であると判断した場合、当事者およびその役員、取締役、代理人は、かかる取引を効果的に行うために合理的に必要とされるすべての文書を執行および引渡し、または執行および引渡しを行わせるものとする。
