REPRESENTATIONS AND WARRANTIES OF FITORE AND FITORE SHAREHOLDERS.
Except as set forth on Exhibit 9.11, Fitore’s assets are currently in good and usable condition and there are no defects or other conditions which, in the aggregate, materially and adversely affects the operation or values of such assets taken as a whole. Except as disclosed on Exhibit 9.11, no person other than Fitore (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.
