REPRESENTATIONS AND WARRANTIES OF FITORE AND FITORE SHAREHOLDERS.
The representations and warranties contained in this Agreement shall be true on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on and as of the Closing Date. Such representations and warranties shall survive the Closing Date and shall remain operative in full force and effect for the period of eighteen months from the date of Closing regardless of any investigation at any time made by or on behalf of Vitro and shall not be deemed merged in any document or instruction so executed and/or delivered by Fitore or Shareholders.
【参考訳】本契約に含まれる表明および保証は、クロージング日時点においても真実であり、かかる表明および保証がクロージング日時点で行われたのと同じ効力を有するものとする。かかる表明および保証は、Vitro による、または Vitro のために行われるいかなる時点の調査にも関係なく、クロージング日から 18 カ月間、クロージング日まで存続し、完全な効力を有するものとし、Fitore または株主によって実行および/または交付されたいかなる文書または指示にも統合されたものとみなされないものとします。
