REPRESENTATIONS AND WARRANTIES OF FITORE AND FITORE SHAREHOLDERS.
Except as set forth on Exhibit 9.4 hereto, the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby or the compliance by the Corporation with any on the provisions hereof will not: (a) Conflict with or result in a breach of any provision of its Articles of Incorporation or By-Laws or similar documents of any Subsidiary; (b) Result in a default (or give rise to any right of termination, cancellation, or acceleration) under any of the terms, conditions or provisions of any note, bond, mortgage, indenture, license, agreement or other instrument or obligation to which the Corporation is a party, or by which any of its properties or assets may be bound except for such default (or right of termination, cancellation, or acceleration) as to which requisite waivers or consents shall either have been obtained by the Corporation prior to the Closing Date or the obtaining of which shall have been waived by Vitro; or (c) Violate any order, writ, injunction, decree or, to the Corporation’s Best Knowledge, any statute, rule or regulation applicable to the Corporation or any of its properties or assets. No consent or approval by any Governmental Authority is required in connection with the execution and delivery by the Corporation of this Agreement or the consummation by the Corporation of the transactions contemplated hereby, except for possible notice under plant closing laws.
【参考訳】別紙 9.4 に記載されている場合を除き、本契約の締結および引渡し、本契約に企図された取引の実行、または公社による本契約の条項の遵守は以下のような事態を招かないものとする：
(a) 子会社の定款、付属定款、または同様の文書の規定に抵触する、または違反する結果となる；
(b) 会社が当事者となっている、または会社の財産や資産が拘束される可能性のある債券、社債、抵当権、契約書、ライセンス、契約書、その他の文書や義務の条項、条件、または条項のいずれかに基づく債務不履行（または解除、取消、または加速の権利の発生）。
(c) 命令、令状、差止命令、判決、または当社の知る限りにおいて、当社または当社の資産もしくは財産に適用される法令、規則、規制に違反すること。公社による本契約の締結および引渡し、または公社による本契約に企図された取引の実行に関連して、政府当局の同意または承認は、工場閉鎖法に基づく通知の可能性を除き、一切必要ありません。
