REPRESENTATIONS AND WARRANTIES OF FITORE AND FITORE SHAREHOLDERS.
The Corporation is qualified to engage in business as a foreign corporation in the State of Colorado, and there currently is no other jurisdiction wherein the character of the properties presently owned by the Corporation or the nature of the activities presently conducted by the Corporation makes necessary the qualification, licensing or domestication of the Corporation as a foreign corporation.
