10.10 Force Majeure
Nonperformance of a Party (other than for the payment of money) shall be excused to the extent that performance is rendered impossible by strike, fire, earthquake, flood, governmental acts or orders or restrictions, failure of suppliers, or any other reason where failure to perform is beyond the reasonable control and not caused by the negligence, intentional conduct or misconduct of the nonperforming Party; provided, however, that the nonperforming Party shall use commercially reasonable efforts to resume performance as soon as reasonably practicable.
【参考訳】10.10 不可抗力 当事者の不履行 (金銭の支払いを除く) は、ストライキ、火災、地震、洪水、政府の行為もしくは命令、または制限、供給業者の不履行、または不履行当事者の過失、意図的な行為、または違法行為に起因せず、合理的な制御を超えるその他の理由によって履行が不可能になった範囲において免除されるものとします。
