CERTAIN DEFINITIONS
shall mean (a) a merger or consolidation in which Company is not the surviving entity, (b) the acquisition by any independent Person or independent affiliated group of Persons of more than 50% of the combined voting power of the Company’s outstanding stock (on an As-Converted Basis) (excluding a financing transaction, which financing transaction for this purpose would include an investment in Company) or (c) a transaction requiring shareholder approval and involving the sale, lease or exchange of all or substantially all the assets of the Company to an independent third party.
