Successors and Assigns
This Agreement shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns. The Company may not assign this Agreement or any rights or obligations hereunder without the prior written consent of Investor (other than by merger). The Investor may assign any or all of its rights under this Agreement.
【参考訳】本契約は、両当事者およびその承継人ならびに許可された譲受人を拘束し、その利益のために効力を有するものとする。当社は、投資家の事前の書面による同意がない限り、本契約または本契約に基づく権利もしくは義務を譲渡することはできません（合併による場合を除きます）。投資家は、本契約に基づく権利の一部または全部を譲渡することができます。
