5. Governing Law.
This Agreement shall be governed by the laws of the State of Delaware, without regard to the provisions governing conflicts of law, and all rights and remedies shall be construed and interpreted in accordance therewith and the federal or state courts of which shall have exclusive jurisdiction over any disputes arising hereunder.
